機密保持に関する覚書

株式会社アイ・エヌ・エフ(甲)は、

(乙)に業務を委託するにあたり、次の通り覚書を取り交わすものとします。

業務受注の際、双方業務内容を確認し、納期、料金など業務遂行後問題が発生しないよう事前に双方合意の上で業務を開始する。 業務の開始は双方の合意とみなす。又、機密保持を厳重にし、善良なる注意義務をもって遂行する。 |

When

is
requested,
the
contents
shall
be
confirmed
by
both
parties,
so
that
no
problems
concerning
submission
dates,
charges,
or
other
factors
arise
subsequent
to
execution
of
the
work
by
mutual
consent.
The
work
must
be
started
after
mutual
consent.
Confidentiality
shall
be
strictly
maintained
at
all
times,
and
the
work
shall
be
carried
out
conscientiously,
at
the
highest
level
of
excellence. |

機密保持 |
委託業務の履行にあたり、知り得た全ての業務内容、結果、機密、発注先企業及び資料内に記載の企業などに関わる情報を他に漏洩してはならない。又、これらの情報に基づき、業務中、業務終了後を問わず、直接甲に対して発注した企業、部署、担当者にいかなる理由があっても甲の許可を得ずに連絡することがあってはならない。 又、同種の業務に関して、直接甲の顧客と直接取引を行なってはならない。甲の提供した辞書類及び参考資料を複写する事を禁じ、他に譲渡してはならない。 |

Confidentiality |
Any
contents,
results,
confidential
information,
customer
and
companies
shown
in
the
documents
or
other
related
information
obtained
during
the
execution
of
the
work
shall
be
held
in
strict
confidence
and
shall
not
be
passed
on
to
any
other
party.
Regardless
of
it
being
during
work
or
after
work,
the
trustee
must
not
contact
the
company,
the
division
or
the
person
in
charge
concerned
for
any
reason
without
the
consent
from
INF.
In
addition,
for
any
work
related
to
INF,
the
trustee
must
not
deal
with
the
company
directly.
Reference
materials
provided
by
INF,
such
as
dictionaries
and
glossaries,
shall
not
be
reproduced
in
any
form
or
made
available
to
any
other
person. |

資料の返却 |
委託業務遂行にあたり提供された資料等は、業務終了後、遅滞無く返却する事とする。 |

Return
of
materials |
All
materials
provided
for
the
purpose
of
executing
the
work
shall
be
returned
promptly
when
the
work
has
been
completed. |
| ５． |
業務の責任 |
依頼した業務が終了し、納品後甲は１週間以内に検収を完了するものとするが、初校依頼は６ヶ月以内に行うものとする。又、公正取引委員会規則に従い、業務に対する責任は納品後６ヶ月間継続するものとする。 |

Responsibilities |
Verification
by
INF
of
the
completed
work
must
be
done
within
1
(one)
week
after
receiving
them;
however,
first
revisions
may
be
requested
as
long
as
it
is
within
6
(six)
months
after
the
receipt
of
the
work.
The
Japan
Fair
Trade
Commission
Standards
state
that
there
is
a
6
(six)-month
responsibility
period
for
all
completed
work. |
本覚書に記載のない事項及び内容に疑義が生じた場合には、両者協議の上、円満に解決するものとします。円満に解決が不可能と思われる場合は名古屋裁判所において解決するものとする。本覚書は記載事項に変更が生じるまで有効とし、両者捺印、又は本人署名の上、各一部保管します。
Any
items
or
questions
not
covered
by
this
Agreement
shall
be
resolved
between
the
parties
involved,
by
means
of
mutual
discussion
and
agreement.
If
both
parties
cannot
mutually
resolve
the
problem,
it
will
be
resolved
through
the
Court
of
Nagoya
District.
This
Agreement
shall
remain
in
effect
until
a
revised
version
may
be
reproduced,
and
shall
be
signed
by
both
parties,
with
a
copy
being
kept
by
each
party. |
