That
Certain
Papers,
Lists,
Programs,
Processes,
Etc.,
Are
Trade
Secrets.
Independent
Contractor
acknowledges
that
the
following
items
used
in
INF's
client's
business
are
secret,
confidential,
unique,
and
valuable,
were
developed
by
INF's
client
at
great
cost,
and
disclosure
of
any
of
the
items
to
anyone
other
than
the
INF's
client's
officers,
agents,
or
authorized
Independent
Contractors
will
cause
INF's
client
irreparable
injury.
This
information
may
include,
but
is
not
limited
to,
the
following
information: |

Manuals,
Emails
and
Appendixes
from
INF's
client
or
INF.
(B)
Glossaries
and
Technical
Terms
from
INF's
client
or
INF.
(C)
Rough
Drafts,
Documents,
Software
Files,
or
Educational
Resources
from
INF's
client
or
INF.

and
other
proprietary
information
(collectively,
"Confidential
Information")
which
are
valuable,
special
and
unique
assets
of
INF's
client.
Confidential
Information
includes
information
that
may
be
disclosed
in
any
manner,
orally,
visually,
or
in
tangible
form,
whether
or
not
it
is
labeled
or
identified
as
confidential.
I
acknowledge
that
I
am
receiving
access
to
said
information
or
participate
in
the
collection
of
said
information
solely
as
a
result
of
my
relationship
with
INF. |

Agreement
Not
To
Disclose
Information.
I
agree
that
I
will
not
at
any
time
or
in
any
manner,
either
directly
or
indirectly,
use
any
Confidential
Information
for
my
own
benefit,
divulge,
disclose
or
communicate
in
any
manner
any
Confidential
Information
to
any
third
party
without
prior
express
written
consent
of
INF
whether
developed
before
or
after
the
date
of
this
Agreement.
I
will
protect
the
Information
and
treat
it
as
strictly
confidential. |

Agreement
Not
To
Communicate
With
Customers.
Independent
Contractor
agrees
that
he/she
will
not
communicate
either
directly
or
indirectly
with
any
of
the
customers,
subcontractors,
or
suppliers
of
INF,
through
any
medium,
both
during
and
for
the
period
of
one
year
after
the
termination
of
this
relationship,
for
whatever
reason
relative
to
the
Confidential
Information
that
the
Independent
Contractor
has
been
made
aware
of
or
relating
in
any
way
to
the
project(s)
that
he/she
was
hired
to
participate
in
unless
authorized
to
do
so
by
a
designated
officer
of
INF.
All
required
communication,
if
any,
shall
be
through
the
designated
officer/representative
of
INF
unless
otherwise
noted. |

Developed
By
Independent
Contractor.
The
restrictions
contained
in
this
Agreement
includes
Confidential
Information
developed
by
Consultant
while
retained
by
INF. |
| ７． |
Agreement
Binding
After
Relationship
Ends.
The
confidentiality
agreement
shall
remain
in
full
force
and
effect
even
after
the
termination
of
the
relationship
between
INF
and
the
Independent
Contractor,
regardless
of
the
reason
for
such
termination. |
| ８． |
Return
of
Secret
and
Confidential
Material
Upon
Termination
of
Agreement.
Upon
termination
of
Independent
Contractor's
Agreement
for
any
reason,
Independent
Contractor
will
return
to
INF
all
of
the
INF's
client's
secret
and
confidential
material
that
is
in
the
Consultant's
possession
or
control. |

Agreement
Benefit's
INF's
Client's
Successors,
Assigns,
Affiliates,
and
Subsidiaries.
This
Agreement
shall
insure
to
the
benefit
of
INF
and
INF's
client's
subsidiaries,
affiliates,
successors,
and
assigns. |

Enforcement
of
Agreement.
This
Agreement
can
be
enforced
by
INF
and
by
INF's
client's
subsidiaries,
affiliates,
successors,
and
assigns.
Equitable
relief,
to
include
injunctive
relief,
or
damages
at
or
both
may
be
sought
for
breaches
or
threatened
breaches
of
this
Agreement. |

Applicable
Law.
This
Agreement
shall
be
interpreted
in
accordance
with
the
laws
of
Japan. |
